Blue Acquisition — proposed Blockfusion combination
Business, financial evidence and documented connections to the AI buildout.
Business and AI exposure
Blue Acquisition Corp. is a special-purpose acquisition company with a proposed combination involving Blockfusion. The transaction remains pending: BACC is not yet the operating owner of Blockfusion’s Niagara Falls campus. The proposed investment would connect shareholders to contracted AI infrastructure, subject to closing, financing and dilution.
Earnings and disclosures
Financial disclosure used: Company filing · Release date not verified
Next results: No next results date listed in the official event listings checked 2026-10-18.
The official events page lists a June 2026 Blockfusion investor presentation but no future earnings date. Corporate and merger disclosures remain separate from operating-company earnings.
The October 16, 2026 merger filing contains financial disclosures. It is not an earnings release; the proposed Blockfusion combination is still pending.
Financial context
Blockfusion’s June 2026 figures showed approximately $0.1 million of cash and a $28.1 million working-capital deficit. Those figures precede September’s $30 million CoreWeave warrant proceeds and debt repayment, and the $25 million NRC payment received on October 5. Subsequent funding changes the liquidity timeline, without eliminating the disclosed going-concern risk.
Delivery and commitments
The transaction materials describe a 35 MW take-or-pay lease with conditional expansion. NRC payments are deferred lease income until lease commencement, rather than proof that accepted capacity is already generating rent. A second $25 million payment was expected around November 3, subject to the disclosed arrangements.
Costs, funding and dependencies
The minimum-cash condition was waived, and definitive financing remained unresolved. September projections reduced expected billed capacity from 25 MW to zero in 2027 and from 50 MW to 35 MW in 2028 versus June assumptions. These are changed forecasts, not evidence of a breached historical operating deadline.
What to watch next
Watch financing commitments, combination approval and closing, followed by construction, customer acceptance and lease commencement. Actual cash received, forecast capacity and recurring recognized lease revenue must remain separate.
Documented project connections
Each connection below has a specific, cited role. A supplier, lender, customer or proposed acquirer has different economics from the project owner.
Blockfusion / CoreWeave Niagara Falls
Proposed acquirer through the pending Blockfusion business combination. Blue Acquisition is not established as the current owner or operator of the Niagara project.
The combination remains conditional. Blockfusion’s lease, funding receipts and operating forecasts are not current Blue Acquisition operating revenue.
Evidence boundaries
Company totals, segment sales, bookings, backlog, spending, capacity and usage describe different things. They do not establish project-level revenue, earnings or an exact AI-only revenue share unless the cited disclosure explicitly says so.
This is a dated research snapshot. Forecasts are attributed expectations, and undisclosed amounts remain unknown. Source review does not certify every project or future outcome.
